These Terms & Conditions ("Terms") govern the use of the FGX Technologies PLT ("FGX", "we", "our", or "us") website and the engagement with any of our services. By accessing our website or working with us, you agree to be bound by these Terms.
These Terms apply to all general service interactions unless superseded by a formal project contract or the Package Terms & Conditions that apply to fixed-price packages and monthly plans.
1. Use of Website and Services
- You agree not to misuse our website or services, or interfere with their normal operation.
- Unauthorized access, reverse engineering, scraping, or reproduction of our platform or materials is strictly prohibited.
2. Intellectual Property Rights
- All website content, source code, designs, documentation, and digital assets are the intellectual property of FGX Technologies PLT, unless otherwise specified.
- No content may be reused, redistributed, or republished without our written permission.
3. Definitions
- "Client" refers to any individual or organization engaging FGX for services.
- "Deliverables" means all agreed outputs such as code, websites, design files, documents, or systems.
- "Scope of Work (SoW)" refers to the written agreement or quotation that outlines what is included in a project.
4. Client Responsibilities
- Clients must provide accurate, complete, and timely materials (e.g., logos, text, credentials).
- Testing, feedback, and approvals must be given within the agreed revision window.
- Delays caused by missing input or client-side inactivity may extend timelines or pause the project.
5. Privacy & Data Handling
- All client data is treated as confidential and used solely for project delivery, internal communication, or compliance with law.
- We will never sell or share your personal data with third parties without consent, unless legally required.
6. Third-Party Tools & Licensing
- Some services may use third-party tools, APIs, plugins, or libraries.
- FGX is not responsible for outages, limitations, or licensing changes introduced by third-party services.
- Clients are responsible for licensing any premium fonts, images, or software unless otherwise stated.
7. Support & Maintenance (Outside of Packages)
- Unless enrolled in an Ops Care plan, post-delivery support is limited to bug fixes reported within 14 days after handover.
- New feature requests, platform changes, or third-party issues are not covered and may be quoted separately.
8. Revisions & Scope Adjustments
- Each project includes a limited number of revision rounds, as defined in the approved quotation or SoW.
- Requests outside the original scope will be evaluated and may require a re-quote or change request.
- Excessive revisions, undocumented change requests, or ongoing rework may delay delivery or incur additional charges.
9. Client Inactivity or Delays
- If the client becomes unresponsive for more than 30 days, the project may be paused or considered inactive.
- Reactivating an inactive project may require a re-engagement fee ranging from RM250 to RM500, depending on complexity.
10. Limitation of Liability
- FGX is not liable for indirect or consequential damages, including but not limited to loss of revenue, data, access, or reputation.
- Our total liability in any engagement is limited to the amount paid by the client for the relevant service.
11. Force Majeure
- We are not liable for delays or non-performance due to events beyond our control, including but not limited to natural disasters, third-party outages, or government restrictions.
12. Changes to Terms
- We reserve the right to update or modify these Terms at any time.
- Material updates will be communicated via email or published on our website.
13. Governing Law
- These Terms are governed by the laws of Malaysia.
- Any disputes shall be resolved through good-faith discussion or arbitration in Kuala Lumpur, Malaysia.
14. Service Suspension & Termination
FGX reserves the right to suspend or terminate services if:
- The client breaches these Terms or engages in unethical or abusive conduct
- Payment is overdue beyond 14 days without valid reason
- There is a significant breakdown in communication or cooperation
In such cases, no refunds will be issued, and access to deliverables may be withheld until the matter is resolved.
15. Billing & Payment Cycles
- For general services or monthly arrangements outside of fixed packages, billing begins on the client's activation or confirmation date, not necessarily the 1st of the month.
- The billing cycle renews monthly from that activation date, unless otherwise agreed in writing.
- Invoices are issued at the start of each billing cycle, and payment is due within the stated terms (typically 7–14 days).
- Late payment may result in service delays or suspension.
16. Contact & Communication
- All official communication (including project updates, invoices, and deliverables) must take place via email or designated FGX platforms (e.g., Notion, Slack).
- FGX is not obligated to respond to work-related requests sent via personal messaging apps or outside of agreed working hours.
